The Companies Act 2006 removes the requirement (with effect from April 2008) for companies to appoint a company secretary. The rationale behind the Government's thinking was to remove red tape for smaller companies.

However it is important to emphasise that none of the duties of the company secretary have disappeared. If you decide that you do not need to appoint a company secretary, then the director(s) will be responsible for these duties.

Many of the tasks carried out by the company secretary may be dull but they are important. For example, failing to file an annual return at Companies House may lead to the company being removed from the Register. There is no longer a requirement to hold meetings of directors and/or shareholders; decisions may be taken by passing a written resolution. But the new legislation relating to written resolutions is complex - how will you get the correct advice?
